These Terms & Conditions (“Agreement”) govern all services provided by Torres Financial & Business Services (“Company,” “we,” “us,” or “our”). By engaging our services, signing agreements, making payment, or submitting documents, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. Nature of Services

Torres Financial & Business Services provides administrative, tax preparation, business formation support, bookkeeping assistance, and notary public services.

We are not a law firm, accounting firm (licensed CPA firm), or financial advisory firm unless explicitly stated. Services provided do not constitute legal, investment, or audit services.

2. No Legal or Professional Advice

Unless explicitly stated otherwise in writing:

  • We are not attorneys

  • We are not a law firm

  • We do not provide legal advice

  • We do not interpret laws for legal reliance

  • We do not recommend legal strategies or legal outcomes

  • We do not provide CPA audit opinions or assurance services

All information provided is for administrative, informational, and compliance support purposes only.

Clients are solely responsible for seeking independent legal, tax, or financial advice when needed.

3. Client Responsibility & Accuracy of Information

All services are strictly dependent on information provided by the client.

The client agrees and acknowledges that:

  • They are responsible for the accuracy, completeness, and truthfulness of all information submitted

  • The Company is not responsible for errors, penalties, delays, or rejections resulting from inaccurate or incomplete information

  • The Company has no obligation to independently verify client-submitted data unless expressly agreed in writing

4. Refund Policy (Strict Compliance Structure)

4.1 Pre-Performance Cancellation

A 100% refund may be issued only if:

  • The client cancels in writing or via phone/email, and

  • No work has been initiated, prepared, or submitted to any third party or government agency

4.2 Non-Refundable Services

All fees become strictly non-refundable once any of the following occur:

  • Preparation work has begun (including data entry, drafting, or filing preparation)

  • Documents have been submitted to any government agency or third party (including IRS, state agencies, banks, or portals)

  • Digital or physical documents have been delivered to the client

  • Time-based consultation services have been rendered, in whole or in part

4.3 Government and Third-Party Fees

All state fees, filing fees, and third-party charges are non-refundable under all circumstances, regardless of service cancellation or outcome.

5. Notary Public Disclaimer (Pennsylvania Compliance)

The Company provides notary public services in accordance with Pennsylvania law.

The notary public:

  • Is not an attorney licensed to practice law

  • Is not authorized to provide legal advice

  • May not explain or interpret legal documents

  • May not advise clients on document preparation, legal effect, or legal strategy

The notary’s role is strictly limited to:

  • Verifying identity of signers

  • Witnessing signatures

  • Administering oaths and affirmations

  • Completing notarial certificates in accordance with applicable law

Clients are responsible for understanding the documents they sign and are encouraged to consult legal counsel as needed.

6. Tax Preparation Limitations

Tax preparation services are based solely on documentation and information provided by the client.

The Company:

  • Does not guarantee refunds, tax outcomes, or financial results

  • Is not responsible for IRS or state audit determinations

  • Is not responsible for penalties, interest, or assessments resulting from inaccurate or incomplete client data

The client is solely responsible for the accuracy of all tax filings once submitted.

7. Business Formation & Compliance Services

Business formation services are administrative filing services only.

The Company does not:

  • Provide legal advice regarding entity selection or structure

  • Guarantee approval of filings by state agencies

  • Guarantee specific tax, legal, or financial outcomes

Processing times, approvals, and rejections are determined solely by government agencies and are outside of Company control.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages

  • The Company shall not be liable for loss of profits, business interruption, or loss of opportunity

  • Total liability for any claim arising out of services shall not exceed the total amount paid by the client for the specific service giving rise to the claim

9. Indemnification

The client agrees to indemnify, defend, and hold harmless Torres Financial & Business Services, its owners, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

  • Client misrepresentation or inaccurate information

  • Client misuse of documents or services

  • Legal or regulatory consequences related to client business activities

10. Appointment & Service Policy

  • Appointments may be required for certain services

  • Late arrivals may result in rescheduling

  • Missed appointments may result in forfeiture of service fees at Company discretion

  • The Company reserves the right to refuse or terminate service at any time

11. Privacy & Confidentiality

The Company maintains reasonable administrative safeguards to protect client information.

However, the client acknowledges:

  • Electronic transmission of data carries inherent risk

  • The Company is not liable for unauthorized access beyond its reasonable control

Client information may be shared only as necessary to complete requested services or comply with legal obligations.

12. Right to Refuse Service

The Company reserves the right to refuse service to any individual or entity at its sole discretion, including but not limited to situations involving:

  • Suspicious, fraudulent, or incomplete documentation

  • Unreasonable client conduct

  • Legal or compliance risk concerns

13. Entire Agreement

These Terms represent the entire agreement between the client and the Company. No verbal statements, representations, or informal communications shall modify or override these Terms unless confirmed in writing.

14. Acceptance of Terms

By engaging services, making payment, or submitting documents, the client acknowledges and agrees to these Terms & Conditions in full.
